Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the Canopy mobile application and web platform ("Service"), operated by Mini Acres Garden Co trading as Canopy ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

"Account" means a registered user account on the Service. "Subscriber" means a person or business that has purchased a paid subscription. "Owner" means the account holder who created the company workspace. "Staff Member" means a user invited to a company workspace by the Owner. "Content" means any data, text, images, or materials uploaded to or generated through the Service.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By creating an Account, you represent and warrant that you meet these requirements.

4. Account Registration

You must provide accurate and complete information when creating an Account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorised access to your Account.

5. Subscription and Payments

The Service is offered under the following subscription tiers:

• Starter — £29 per month
• Growth — £59 per month
• Pro — £99 per month

All prices are exclusive of VAT where applicable. Subscriptions are billed monthly in advance via Stripe. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. We reserve the right to change pricing with 30 days' written notice.

6. Free Trial

We may offer a 14-day free trial. At the end of the trial period, you will be required to select a paid subscription to continue using the Service. If you do not subscribe, your access will be restricted but your data will be retained for 30 days.

7. Your Content and Data

You retain full ownership of all Content you upload to the Service. By using the Service, you grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Service to you. We will not sell, share, or use your Content for any other purpose.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Resell, sublicence, or redistribute access to the Service without our written consent
• Use automated tools to scrape, crawl, or extract data from the Service

9. Service Availability

We aim to provide continuous access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.

10. Data Security

We implement appropriate technical and organisational measures to protect your data, including encryption in transit and at rest, row-level security for multi-tenant data isolation, and regular security reviews. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

11. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Mini Acres Garden Co trading as Canopy and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability shall not exceed the amount you have paid to us in the 12 months preceding the claim
• We are not liable for any loss of data, revenue, or business opportunities arising from your use of the Service

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or regulation.

14. Termination

We may suspend or terminate your Account if you breach these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
